End-User License Agreement

M2 CPA Bookkeeping — QuickBooks Online Integration
Effective date: June 6, 2026

This End-User License Agreement (“Agreement”) is between M2 CPA, LLC
(“M2 CPA,” “we,” “us”) and the individual or entity that
connects to or uses the M2 CPA Bookkeeping application (the “Application,” and such
user, “you”). By connecting or using the Application, you agree to this Agreement.

1. License

M2 CPA grants you a limited, non-exclusive, non-transferable, revocable license to use the
Application solely in connection with bookkeeping and accounting services provided by M2 CPA. The
Application is a private tool and is not offered to the general public.

2. Authorization and data

The Application connects to QuickBooks Online through Intuit’s API using OAuth 2.0
authorization that you grant. Your accounting data is handled as described in our
Privacy Policy. You represent that you are authorized to connect the
QuickBooks company you link.

3. Acceptable use

You agree not to (a) use the Application other than as intended for legitimate bookkeeping
purposes; (b) attempt to access data of companies you are not authorized to access; or
(c) interfere with or attempt to disrupt the Application or Intuit’s services.

4. Professional review

The Application may generate draft entries and suggestions. Such drafts are not final until
reviewed and approved by a qualified person. M2 CPA’s professional services are governed by
the separate engagement agreement between you and M2 CPA.

5. Disclaimer of warranties

The Application is provided “as is” without warranties of any kind, to the maximum
extent permitted by law. M2 CPA does not warrant that the Application will be uninterrupted or
error-free.

6. Limitation of liability

To the maximum extent permitted by law, M2 CPA will not be liable for any indirect, incidental,
special, or consequential damages arising out of or relating to the Application.

7. Termination

You may terminate this Agreement at any time by disconnecting the Application (see
Disconnect). We may suspend or terminate access if this Agreement
is breached. Sections that by their nature should survive termination will survive.

8. Governing law

This Agreement is governed by the laws of the State of California, USA, without regard to its
conflict-of-laws rules.
